I. Convene into Open Session.
Mayor Waddle called the meeting to order at 6:30 p.m.
Those in attendance were: Mayor Waddle, Mayor Pro Tem Thelma Clardy, Councilmember Sandy Respess, Councilmember Elect Deshaundra Lockhart, City Manager Jim Baugh, Assistant City Manager Lynda Humble. DEDC President Curtistene McCowan and DEDC Executive Secretary Millie Garcia.
II. Discuss the recommendations of the Committee comprised of City Councilmembers and Economic Development Corporation Board Members charged with reviewing the Economic Development Corporation’s Mission and Organizational Structure.

Ms. McCowan thanked Lynda Humble for her assistance as liaison for the ad hoc committee.
Ms. McCowan presented a PowerPoint presentation outlining the committee's recommendations.
Some of the alternatives discussed included:
The option of becoming a part of City Staff was rejected due to a perceived lack of benefits combined with a perceived reduction in the role of the DEDC Board.
The Foundation option was rejected due to the scope of DEDC activity being much larger than basic grant making activity.
The committee recommends keeping the current DEDC structure because it is as effective as any alternative structure recommended. Real Board of Directors responsibility, beyond an advisory role, attracts the best business talent available.
Councilmember Respess, member of the ad hoc committee added comments regarding the suggestions.
Working Relationships:
The DEDC is a "wholly-owned" subsidiary of the City of DeSoto.
*Council appoints the Board of Directors and they serve at the pleasure of the Council
*Council approves the DEDC plan of work and budget
*Council approves all DEDC activity beyond the scope of the DEDC’s budget and/or plan of work
It was felt that DEDC should bring its operating procedures more in line with City operations - to follow the methodology of the City.
Ms. McCowan stated that this discussion process was very helpful in clearing up misperceptions related to communication with the Council.
Ms. McCowan expressed her appreciation to the Council.
Councilmember Helm commented he was pleased with the process and once it started, the relationship changed for the better.
Mayor Pro Tem Clardy commented that there is more of a spirit of trying to work together as a team and reach toward the same goals.
Ms. Humble stated that communication is a powerful thing and both sides felt the communication was there during this process.
Mayor Waddle stated this has been a long time coming and the timing was right for this dialogue. He commended the committee members for a job well done. His concern is that the DEDC communicate with the Council and City before projects move along too far. Mayor Waddle mentioned that previously, DEDC would come to Council with their deals set and turn it over to the City.
Ms. McCowan commented it was an opportune time to go through this process. Searching for a new ED director. She realized the City hires good people all the time, so she met with City Manager Baugh to discuss the search before taking that suggestion to the DEDC board.
Councilmember Elect Lockhart inquired about an orientation program and how long the term is of the board members.
Mayor Waddle commended everyone on the committee and Ms. Humble for facilitating the process. He feels they are on the right track.
Mayor Waddle adjourned the meeting at 7:13 p.m.
Additional Recommendations
Involve the City Manager’s office in the selection of the new DEDC Executive Director.
Review these process changes in six to nine months and "tweak" as needed.
Amend bylaws and operating policies as required to solidify these changes.
Develop mandatory orientation program for new DEDC Board members.

early involvement in projects that involve City resources
allow time and access for the DEDC
Mayor Waddle commented that he has had a discussion with Mayor Leppert of Dallas regarding Danieldale Road.
